DEADLINE FOR JOINT STOCK AND LIMITED LIABILITY COMPANIES TO COMPLY WITH MINIMUM CAPITAL REQUIREMENTS EXTENDED TO 31 DECEMBER 2027
The Communiqué on the Extension of the Period for Joint Stock and Limited Liability Companies to Increase Their Capital to the New Minimum Amounts, published in the Turkish Official Gazette dated 17 October 2026 and numbered 33403, extended the capital compliance period under Provisional Article 15 of the Turkish Commercial Code. The Communiqué does not change the minimum capital amounts; it grants an additional year for companies whose capital remains below the applicable thresholds.
Compliance Deadline Extended to 31 December 2027
The previous deadline of 31 December 2026 has been extended, through the Ministry of Trade’s statutory extension authority, to 31 December 2027. Accordingly, joint stock and limited liability companies whose capital is below the new minimum amounts must complete the required capital increase by this date.
Minimum Capital Amounts Remain Unchanged
The Communiqué only extends the compliance period. The minimum capital amounts applicable since 1 January 2024 remain unchanged: TRY 250,000 for joint stock companies, TRY 50,000 for limited liability companies, and TRY 500,000 as the minimum initial capital for non-public joint stock companies that have adopted the registered capital system.
Non-Public Joint Stock Companies under the Registered Capital System
Non-public joint stock companies that have adopted the registered capital system and have issued capital of at least TRY 250,000, but whose initial or issued capital remains below TRY 500,000, must increase both their initial and issued capital to TRY 500,000 by 31 December 2027. If this requirement is not met within the deadline, the company will be deemed to have exited the registered capital system.
Consequences of Failure to Comply by the Deadline
Joint stock companies with capital below TRY 250,000 and limited liability companies with capital below TRY 50,000 that fail to increase their capital to the statutory minimums by 31 December 2027 will be deemed dissolved. The extension therefore does not remove the compliance obligation; it only provides additional time to complete it.
Practical Points to Consider
For general meetings convened solely to increase capital to the statutory minimums, no meeting quorum is required; resolutions are adopted by a majority of the votes represented at the meeting, and privileged rights may not be exercised against such resolutions. Companies within scope should review their capital position and complete the necessary general meeting, articles of association amendment, capital commitment and trade registry procedures before 31 December 2027.
The Communiqué entered into force on 17 October 2026. It extends only the compliance deadline and does not amend the existing minimum capital amounts.
